Client data room

Client data room: exchange documents in their project context

A client data room links files to a project and task. Clear exchange needs owners, versions and access rules.

From storage to a usable basis for work

A shared folder tells you where a file is. A thoughtful project data room also explains its purpose, current version and who works with it next. This matters especially when clients provide material and the team creates new versions from it.

A client data room for ongoing project work is not automatically a virtual data room for due diligence. Watermarks, granular download permissions, complete access logs and special retention require separate verification. The term alone is not a security promise.

Every file needs clear context

Example: “final-new” is not a versioning strategy

The client uploads “Logo_final_new.png”. An older file with a similar name remains in the internal chat. The filename alone cannot reliably establish which version to use.

The team adds purpose and origin to the document. Mark the previous working version as replaced if supported; otherwise the project lead explicitly records the change. Good naming helps but does not replace a tested versioning feature.

At handover, compile filenames, versions and purposes. Missing or unusable files can then be queried precisely, rather than sending a general “The files are still missing” message.

Check the data room before client use

  1. Exchange in both directions

Who may upload, download and assign incoming material? Uploading without a responsible reviewer merely creates another storage location.

  2. Direct access

Check permissions with a separate test account and a direct file link. A protected folder in the interface is not sufficient evidence.

  3. File limits

Clarify allowed formats, sizes, storage limits and handling of problematic files. Do not assume universal virus scanning.

  4. After the project ends

Record access, agreed handover, retention and deletion separately. Revoking portal access cannot retrieve a downloaded copy.

Information that helps select a system

Do not only check for an upload button. Test a full cycle: client supplies material, team assigns it, a new version is shared, access is revoked and the direct download URL is tried again. Record the role, file and result.

Sensitive documents also require checking actual storage location, service providers and contractual arrangements. A green interface or padlock icon does not provide this information.

Frequently asked questions

Is the data room automatically audit-proof?

No. A file list or download does not prove audit-proof archiving. Specific requirements and technical and organisational measures must be checked.

How many folders does a small project need?

Few enough that participants can find their next step. A simple structure for inputs, work in progress and handover may suffice. The file's status should not have to be guessed solely from the folder name.
